1. ACCEPTANCE OF TERMS

By accessing and using the Microcive website (microsiveglobal.com) and/or submitting a wholesale application, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

"Order": Any wholesale purchase transaction through Hempster

"Account": Your registered wholesale account on the Hempster platform

"COA": Certificate of Analysis - third-party laboratory testing documentation

3. ELIGIBILITY & AUTHORIZATION

3.1 Business Requirements
You represent and warrant that:

  • You are a legally established business entity (retail store, distributor, e-commerce, etc.)

  • You hold valid business licenses and legal authorization to operate in your jurisdiction

  • You are authorized to enter into binding business agreements

  • You are at least 18 years of age (or legally of age in your jurisdiction)

3.2 Verification & Compliance
Microsive reserves the right to:

  • Request business verification documentation (business license, EIN, tax ID)

  • Conduct background and compliance checks

  • Verify legal authorization to operate

  • Reject applications that fail verification

  • Terminate accounts that violate compliance requirements

3.3 Restricted Jurisdictions
You warrant that you are not located in, and will not distribute products to:

  • Any jurisdiction where hemp products are illegal

  • Territories with age restrictions on hemp cannabinoid sales

  • Locations with specific regulatory prohibitions

You assume full responsibility for verifying local/state legal compliance before purchasing.

5. WHOLESALE ORDERING & PURCHASING

Step 5: Order Fulfillment

5.3 Order Acceptance & Rejection
Microsive reserves the right to:

6. PRICING & PAYMENT TERMS

7.2 Delivery Address

7.4 Risk of Loss

  • Risk of loss transfers to retailer upon delivery

7.5 Delivery Failure
If delivery fails:

  • Package returned to Microsive after 3 return attempts

  • Retailer liable for return shipping costs

  • Refund issued (less return shipping) after return received

  • Retailer may request reshipment (additional fee applies)

8. RETURNS & REFUNDS

8.1 Return Policy
Products can be returned if:

  • Defective or damaged upon arrival

  • Wrong items shipped

  • COA does not match product specifications

  • Returned within 14 days of receipt

  • Products unopened/sealed in original packaging

Products CANNOT be returned if:

  • Opened/unsealed

  • Altered or repackaged

  • Damaged by retailer

  • Storage issues (expired, degraded)

  • Return request after 14 days

  • Ordered in error (no "change of mind" returns)

8.2 Return Process
Step 1: Contact Microsive within 14 days

Step 2: Obtain RMA (Return Merchandise Authorization) number

  • Required before return shipment

  • Valid for 7 days after issuance

  • Include RMA number on return package

Step 3: Ship package back

  • Retailer pays return shipping

  • Use trackable method

  • Include packing list with RMA

Step 4: Inspection & Processing

  • Microsive inspects returned products

  • Quality verified, COA checked

  • Processing takes 5-7 business days

Step 5: Refund or Replacement

  • Refund issued to original payment method

  • Replacement shipped at no additional cost (if applicable)

  • Refund less return shipping ($50-$100 restocking)

8.3 Defective Products
If product arrives defective:

  • Microsive covers return shipping

  • Full refund or replacement shipped immediately

  • No deductions or restocking fees

  • Photographic evidence may be requested

8.4 No Refund for Compliance Issues
If products cannot be resold due to local regulations:

  • No refund issued

  • Responsibility lies with retailer to verify compliance

  • Hempster not liable for regulatory changes

9. INTELLECTUAL PROPERTY & BRANDING

9.1 Microsive Trademarks
All Microsive intellectual property (logos, branding, product names, imagery) remains Microsive's exclusive property.
You are permitted to:

  • Display product images on retail website/store (with proper attribution)

  • Use product names in marketing

  • Reference Microsive as supplier (with permission for B2B displays)

You are NOT permitted to:

  • Modify Microsive logos or branding

  • Claim exclusive rights to products

  • Rebrand products as your own creation

  • Use Hempster IP without authorization

  • Create derivative works from Microsive materials

9.2 Product Resale Restrictions
You may NOT:

  • Claim to be the manufacturer

  • Rebrand products as proprietary

  • Remove Microsive labeling or COA information

  • Modify product packaging

  • Claim ownership of formulations

You must:

  • Maintain original labeling

  • Provide COAs to customers

  • Attribute products to Microsive as manufacturer

  • Comply with all labeling requirements

10. LIABILITY & INDEMNIFICATION

10.1 Limitation of Liability
Microsive's total liability is LIMITED TO:

  • Refund of product cost only

  • Not including shipping, taxes, or indirect damages

  • Maximum refund: Product purchase price

Microsive is NOT liable for:

  • Lost revenue or lost profits

  • Consequential or indirect damages

  • Punitive damages

  • Business interruption

  • Customer claims or liability

  • Regulatory fines or penalties

  • Personal injury or property damage

10.2 Disclaimer of Warranties

You warrant that:

  • You understand Farm Bill 2018 regulations

  • You are aware of state-specific hemp laws

  • You have verified product legality in your location

  • You will comply with all applicable regulations

11.3 Age Restrictions

  • You verify customer age (if required)

  • Products not sold to minors (if restricted)

  • Age verification system implemented

  • Compliance with state laws maintained

11.4 Marketing & Advertising

You agree NOT to:

  • Misrepresent product potency or effects

  • Target minors in marketing

  • Violate FDA advertising guidelines

  • Make false or misleading statements

  • Violate state advertising restrictions

12. ACCOUNT MANAGEMENT

12.1 Account Activation

  • Account created upon application approval

  • Login credentials sent via email

  • Password must be changed upon first login

  • Account active for 12 months (auto-renews)

12.2 Account Responsibilities
You are responsible for:

  • Keeping login information confidential

  • Notifying Microsive of unauthorized access

  • Maintaining accurate account information

  • Updating business details if changed

  • Complying with account terms

12.3 Account Suspension/Termination
Microsive may suspend or terminate your account if:

  • Fraudulent activity detected

  • Payment failures or chargebacks

  • Violation of compliance requirements

  • Misuse of account or products

  • Breach of these terms

  • Licensing issues or business closure

  • Regulatory violations

  • Repeated customer complaints

Suspension: Temporary (up to 30 days, reviewable)
