Microsive sells strictly on a business-to-business basis. You represent that you are acting on behalf of a legitimate business and that you will comply with all applicable federal, state, and local laws and regulations in your jurisdiction.

Product descriptions, images, specifications, and pricing are provided for informational purposes and may change without notice. Product availability is not guaranteed until an order is accepted and confirmed by Microsive.

Where applicable, products may be hemp-derived and intended to comply with relevant legal requirements. Certificates of Analysis (“COAs”) and other documents may be made available upon request or via product listings where applicable. Buyer is solely responsible for ensuring products are legal to possess, resell, market, and distribute in Buyer’s jurisdiction.

No medical claims: Products are not intended to diagnose, treat, cure, or prevent any disease. Do not use Microsive materials to make medical/health claims.

Orders may be placed via invoice, purchase order, or other channels approved by Microsive. Microsive reserves the right to accept, reject, cancel, or limit any order for any reason, including stock limitations, compliance concerns, suspected fraud, or pricing errors.

Prices are wholesale and may exclude shipping, handling, duties, and taxes unless stated otherwise. Buyer is responsible for all applicable taxes, duties, and compliance-related fees.

MOQ (if any) may vary by product category and is communicated on price lists, invoices, or during account setup. Orders below MOQ may be rejected or subject to different pricing.

Payment methods and terms are defined on the invoice or in the account agreement (e.g., prepaid, ACH, wire). If credit terms are offered, they are subject to approval and may be revoked at any time. Late payments may result in order holds, cancellation, or additional fees as permitted by law.

Shipping timelines are estimates and not guarantees. Risk of loss transfers to Buyer upon shipment pickup by the carrier (unless otherwise required by law or agreed in writing). Buyer is responsible for providing accurate shipping details; re-shipment or address correction fees may apply.

Unless otherwise stated on the invoice or return policy page:

• Damages/shortages: Must be reported within 48 hours of delivery with photos and packaging evidence.

• Defective items: Subject to inspection and verification.

• Unauthorized returns: Will not be accepted.
  Approved returns may be refunded, replaced, or credited at Microsive’s discretion.

Buyer agrees to contact Microsive first to resolve any billing or shipment issues. Unjustified chargebacks may result in account suspension and collection activity as permitted by law.

If Microsive provides MAP or reseller marketing guidelines, Buyer agrees to follow them. Buyer may not misrepresent Microsive products, remove required warnings/labels, or create prohibited claims.

All Site content (text, branding, graphics, product listings, and layout) is owned by Microsive or its licensors and may not be copied, reproduced, or used without written permission.

You agree not to:

• Use the Site for unlawful purposes.

• Attempt unauthorized access to the Site or systems.

• Upload viruses, scrape content, or disrupt operations.

• Misuse COAs, labels, or compliance materials.

To the maximum extent allowed by law, Microsive will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption. Microsive’s total liability for any claim will not exceed the amount paid by Buyer for the specific order giving rise to the claim.

Buyer agrees to indemnify and hold harmless Microsive from any claims, damages, liabilities, costs, and expenses arising from Buyer’s resale, marketing, handling, storage, labeling, or distribution of products, including non-compliance with laws in Buyer’s jurisdiction.

Microsive may suspend or terminate access to the Site or wholesale account at any time if Buyer violates these Terms or if required for compliance or risk management.

Microsive may update these Terms from time to time. Continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

These Terms are governed by the laws of PA, USA. without regard to conflict of law principles.
